Dealer Agreement

1. Agreement Overview

This Dealer Agreement ("Agreement") is entered into between ZA Auto ("the Platform") and the registered dealer ("you", "Dealer") upon registration as a dealer on the Platform. By completing dealer registration, you confirm that you have read, understood, and agree to be bound by this Agreement, together with our Terms and Conditions and Privacy Policy.

2. Dealer Eligibility

  • You must be a registered business or sole trader legally permitted to sell vehicles in South Africa.
  • You must be at least 18 years of age.
  • You must provide accurate business information including your business name, contact details, and physical address.
  • ZA Auto reserves the right to verify your dealer credentials and reject or revoke dealer status at its sole discretion.

3. Dealer Responsibilities

3.1 Listing Accuracy

You are solely responsible for the accuracy, legality, and completeness of every vehicle listing you publish. This includes:

  • Correct vehicle specifications (make, model, year, mileage, condition)
  • Accurate pricing
  • Honest description of the vehicle's condition and history
  • Correct and authentic images of the actual vehicle

3.2 Legal Compliance

  • You must ensure all vehicles listed are legally yours to sell and are not stolen or subject to undisclosed encumbrances.
  • You must comply with the Consumer Protection Act (CPA), the National Credit Act (NCA) where applicable, and all other relevant South African legislation.
  • You must not list vehicles with fraudulent documentation or tampered odometers.

4. Prohibited Listings

The following are strictly prohibited on the Platform:

  • Stolen vehicles
  • Vehicles with fraudulent, false, or altered documentation
  • Vehicles described in a materially misleading manner
  • Duplicate listings for the same vehicle
  • Listings for vehicles the dealer does not have the right to sell

Violation of this clause may result in immediate account suspension, removal of all listings, and referral to relevant authorities.

5. Subscription Plans and Fees

  • Access to dealer listing features requires a valid active subscription as described on our pricing page.
  • Subscription fees are billed in advance on a monthly or annual basis as selected.
  • All fees are quoted in South African Rand (ZAR) and are inclusive of VAT where applicable.
  • Subscription fees are non-refundable once a billing cycle has commenced, unless required by law.
  • We reserve the right to change subscription pricing with at least 14 days' notice to active dealers.
  • Failure to maintain an active subscription will result in your listings being hidden or removed from the Platform.

6. Payment Processing

Payments are processed through third-party payment providers. By making a payment, you also agree to the terms of the relevant payment processor. ZA Auto does not store card details. ZA Auto is not liable for errors, failures, or security breaches occurring on third-party payment platforms.

7. Listing Limits

The number of active listings permitted at any time is determined by your current subscription plan. Attempting to circumvent listing limits (e.g., through multiple accounts) is a breach of this Agreement and may result in immediate termination.

8. Content Ownership and Licence

You retain ownership of the content (images, descriptions, etc.) you upload. However, by uploading content to ZA Auto, you grant us a non-exclusive, royalty-free, worldwide licence to display, reproduce, and distribute that content on the Platform for the purposes of operating the marketplace.

9. Removal of Listings

ZA Auto reserves the right to remove, edit, or suspend any listing at any time without prior notice if:

  • The listing violates these terms or applicable law
  • We receive a credible complaint about the listing
  • The vehicle has been sold or is no longer available
  • We determine, in our sole discretion, that the listing is harmful to users or the Platform

10. Marketplace Role — No Liability for Transactions

ZA Auto is a marketplace platform only. We are not a party to any transaction between a dealer and a buyer. We do not:

  • Inspect, certify, or warrant any vehicle
  • Process or hold funds for vehicle sales
  • Mediate or resolve disputes between dealers and buyers

You indemnify and hold ZA Auto harmless from any claims, losses, or damages arising from transactions between you and any buyer, including disputes about vehicle condition, payment, or title.

11. Suspension and Termination

ZA Auto may suspend or terminate your dealer account at any time, with or without notice, for:

  • Breach of this Agreement or our Terms and Conditions
  • Fraudulent or illegal activity
  • Non-payment of subscription fees
  • Any conduct deemed harmful to users or the Platform

Upon termination, all your listings will be removed and your account access revoked. No refund of unused subscription fees will be provided except where required by law.

12. Dealer Indemnity

You agree to indemnify, defend, and hold harmless ZA Auto, its directors, employees, and agents from and against any claims, damages, penalties, costs, or expenses arising from:

  • Your listings or content on the Platform
  • Your breach of this Agreement
  • Your violation of any applicable law
  • Any transaction between you and a buyer

13. Limitation of Liability

To the maximum extent permitted by law, ZA Auto's total liability to you under this Agreement shall not exceed the total subscription fees paid by you in the 3 months preceding the claim. We are not liable for loss of profits, business, or revenue resulting from your use of the Platform.

14. Amendments

We may amend this Agreement at any time with reasonable notice. Continued use of the Platform after notice of changes constitutes your acceptance of the updated Agreement.

15. Governing Law

This Agreement is governed by the laws of the Republic of South Africa. Any disputes shall be subject to the jurisdiction of the South African courts.
